Predictive Safety Partner Terms
The short version is a summary. The full agreement below is what you accept.
The short version
1. Who we are.
Predictive Safety LLC runs the partner program and the courses at sst.nyc. "You" are the partner.
Accepting these terms on the partner page or the application form makes them an agreement.
2. You are independent.
You are not an employee, agent or representative of Predictive Safety. You cannot sign for us, promise anything for us, or use our name as if you work for us.
You pay your own taxes. Before your first payout we ask for a W-9, and we may hold payouts until we have it. We send a 1099-NEC when your payments for the year reach the IRS threshold for the year.
3. What the program is.
You get a code and a link. When an individual worker buys one of our SST courses with it, you earn a commission at the rate shown on your partner page.
Codes work on our SST courses in English and Spanish only, not OSHA courses, wallet cards or fees.
Codes are for individual workers. A company buying for its workers goes through our team and pays no partner commission.
4. When you earn it and when we pay.
A sale is earned once the referred worker finishes the course and their certificates are filed with the New York City Department of Buildings' Training Connect.
We pay earned commissions by hand on the Friday after, by the method you set on your page. No minimum payout.
A pending sale that is not earned within 12 months is void. Rate steps count earned sales.
A refund or chargeback before we pay cancels that commission.
If a paid sale is later reversed by a card chargeback or fraud, we take it from your next payout; we never send you a bill, and if no payout follows, we absorb it.
5. What counts.
The first code or link a buyer used wins the sale.
If you add or invite someone's email and they buy within 90 days with no code or link, the sale is yours; you cannot add someone who has already bought from us, and a code or link used at checkout always wins.
No commission on your own purchases, your household's, or an order you placed for someone else.
6. How you may promote.
Tell people you know. Text only people who agreed to hear from you: no bulk texting, no bought lists, no spam (CAN-SPAM and TCPA apply to you).
No paid search ads on "Predictive Safety", "SST.NYC", "sst.nyc" or misspellings. No posting codes on coupon or deal sites.
Say you are a partner when you recommend us (FTC rules).
Say only true things: our courses are NYC DOB-approved; we do not guarantee a card, we are not the NYC DOB, we do not price-match.
Do not run a site, page or account that looks like ours.
7. Our name and logo.
You get a limited licence to use the Predictive Safety name, logo and the materials on your partner page to promote the program, revocable at any time. Nothing else.
8. Privacy.
You see first names and course names on your page, nothing more. Keep what you see private.
Never ask a referral for their documents, login or card.
9. Changes.
We may change rates, terms or the program with 14 days' notice by email or on your page. Changes apply to sales after that date.
Using the page after the date is acceptance.
10. Ending it.
Either of us can end this any time. Earned, unpaid commissions are still paid; sales made by breaking section 6 are forfeited.
We may suspend a code while we look into a problem.
11. Limits.
The program is provided as is. Our total liability to you is the commissions we paid you in the prior 12 months.
You cover us for claims caused by your promotion that breaks these terms.
12. Law.
New York law applies. If we disagree, we try to sort it out together for 30 days first. If that fails, it goes to one-on-one arbitration in New York County or to small claims court, never a class action or a jury trial.
You can opt out of arbitration: email help@sst.nyc with the subject "Arbitration Opt-Out" within 30 days of first accepting.
This is the short version. The full Partner Agreement is the binding one.
The full agreement
Predictive Safety Partner Program Agreement
Version: 2026-10-23c
This Predictive Safety Partner Program Agreement (the "Agreement") is a binding contract between Predictive Safety LLC, a New York limited liability company ("Predictive Safety", "we", "us" or "our"), and the individual or business accepted into the Predictive Safety Partner Program ("Partner", "you" or "your"). Predictive Safety may publish a plain-language summary of these terms (the "Summary") above this Agreement or on an acceptance screen. The Summary is provided for convenience only. It is not part of this Agreement and does not create, change or limit any right or obligation. If the Summary and this Agreement differ, this Agreement controls. Section 15 contains a binding individual arbitration agreement, a class action waiver and a jury trial waiver, and explains how you can opt out of arbitration within 30 days. Please read it carefully.
1. Definitions
In this Agreement, the following capitalised terms have these meanings:
1.1 "Acceptance Date" means the date on which you first accept this Agreement under Section 2.
1.2 "Chargeback" means a payment reversal, dispute or claw-back initiated by a buyer, card issuer, bank or payment processor on a Referred Order.
1.3 "Commission" means the amount Predictive Safety pays you for an Earned Sale, calculated under Section 5.
1.4 "Company Order" means any order placed by, paid for by, invoiced to, or arranged for or on behalf of a business, employer, contractor, union, agency or other organisation for one or more of its workers or members, whether placed online, through Predictive Safety's team, or by any other means.
1.5 "Dashboard" means the online partner dashboard Predictive Safety makes available to you, including the rate, payout and promotional-materials pages shown there.
1.6 "Earned Sale" means a Qualifying Sale for which both of the following have occurred: (a) the Referred Worker has completed the SST Course purchased; and (b) the Referred Worker's certificates for that SST Course have been filed with the New York City Department of Buildings' Training Connect system.
1.7 "Excluded Products" means OSHA courses, wallet cards, card replacements, fees of any kind, and any product or service other than an SST Course.
1.8 "List Price" means the standard published price of an SST Course on sst.nyc at the time of the order, before any discount, coupon, promotion, tax or fee.
1.9 "Marks" means Predictive Safety's names, trade names, logos, trademarks and service marks, including "Predictive Safety", "SST.NYC" and "sst.nyc".
1.10 "Pending Sale" means a Qualifying Sale that has not yet become an Earned Sale.
1.11 "Program" means the Predictive Safety Partner Program described in this Agreement.
1.12 "Promotional Materials" means the logos, images, copy and other materials Predictive Safety provides on the Dashboard for use in promoting the Program.
1.13 "Qualifying Sale" means a purchase of an SST Course by an individual worker for himself or herself, at sst.nyc, using your Referral Code or Referral Link or under an email hold in Section 6.4, that is attributed to you under Section 6 and is not excluded under Sections 4 or 6.
1.14 "Referral Code" and "Referral Link" mean the unique codes and tracking links Predictive Safety issues to you through the Dashboard. "Referral Tools" means both.
1.15 "Referred Order" means an order placed using one of your Referral Tools.
1.16 "Referred Worker" means the individual worker who placed a Qualifying Sale.
1.17 "SST Course" means a New York City Site Safety Training course offered by Predictive Safety, in English or Spanish, other than an Excluded Product.
2. Acceptance and Eligibility
2.1 Electronic acceptance. You accept this Agreement by clicking "I agree" (or a similar button) on the partner page or the Program application form. You agree that this electronic acceptance is your signature, has the same effect as a handwritten signature, and satisfies the federal Electronic Signatures in Global and National Commerce Act (E-SIGN) and the New York Electronic Signatures and Records Act.
2.2 Authority. If you accept on behalf of a business, you confirm that you have authority to bind that business, and "Partner" means that business. If you are an individual, you confirm that you are at least 18 years old.
2.3 Admission. Predictive Safety decides in its discretion whether to accept an application. This Agreement takes effect when Predictive Safety accepts you into the Program and you have accepted this Agreement.
2.4 Accurate information. You must give accurate and complete information on your application and Dashboard, including your legal name, email address, tax information and payout method, and keep it up to date.
3. Referral Codes and Links
3.1 Issue. Predictive Safety will issue you one or more Referral Tools through the Dashboard. Predictive Safety may add, change, reissue or retire Referral Tools at any time.
3.2 Buyer discount. A Referral Code may give the buyer a discount on the List Price of an SST Course. Predictive Safety funds the first 5% of that discount. You may elect on the Dashboard, where offered, to give the buyer a larger discount. Any discount above 5% is funded by you and is deducted from the Commission on that sale.
3.3 Scope. Referral Tools apply only to SST Courses. They do not apply to, and no Commission is payable on, any Excluded Product, even if it is bought in the same order as an SST Course.
3.4 No other use. You may not sell, trade or transfer Referral Tools, or alter them, or use them in any way not permitted by this Agreement.
4. Individual Workers Only; Company Orders Excluded
4.1 Individuals only. Referral Tools are for individual workers buying an SST Course for themselves.
4.2 Company Orders. A business buying training for its workers must deal with Predictive Safety's own team. No Commission is payable on any Company Order, whether the order uses a Referral Tool, follows a referral from you, or is claimed by you in any other way. Predictive Safety decides in good faith whether an order is a Company Order, and that decision is final.
4.3 No diversion. You may not split a Company Order into individual orders, or direct workers to use your Referral Tools for training their employer arranges or pays for, in order to obtain a Commission.
5. Commissions
5.1 Rate. Your Commission rate is the rate shown on your Dashboard at the time of the order. Unless your Dashboard shows a different rate, the default Program rate is:
- (a) 10% of the List Price of the SST Course for each of your first 14 Earned Sales; and
- (b) 15% of the List Price of the SST Course from your 15th Earned Sale onward.
5.2 Tiers count Earned Sales only. Only Earned Sales count toward a rate tier. Pending Sales, cancelled sales, refunded sales and sales reversed by Chargeback do not count.
5.3 Deductions. Any buyer discount above 5% that you elect under Section 3.2 is deducted from the Commission on that sale. A Commission is never less than zero, and you never owe Predictive Safety any shortfall.
5.4 When a Commission is earned. A Commission is earned only when the Qualifying Sale becomes an Earned Sale. No Commission is owed on a Pending Sale.
5.5 Expiry of Pending Sales. A Pending Sale that has not become an Earned Sale within 12 months after the date of the order is void, and no Commission is ever payable on it.
5.6 Rate changes. Predictive Safety may change Commission rates, tiers or the buyer-discount terms on notice under Section 12. Changes apply only to orders placed on or after the effective date of the change.
6. Attribution and Excluded Sales
6.1 First code or link wins. If a buyer uses more than one partner code or link, the sale is attributed to the partner whose code or link the buyer used first, as shown in Predictive Safety's records.
6.2 Excluded sales. No Commission is payable on:
- (a) your own purchases;
- (b) purchases by members of your household;
- (c) orders you place for, or on behalf of, another person;
- (d) Company Orders;
- (e) Excluded Products; or
- (f) orders obtained in breach of Section 8 or otherwise in breach of this Agreement.
6.3 Fraud. Predictive Safety may withhold or cancel a Commission on any order it reasonably believes is fraudulent, manipulated, self-referred or not a genuine purchase by an individual worker.
6.4 Email holds. If you add or invite a person's email through the Dashboard and, within 90 days after that, the person buys an SST Course without using anyone's Referral Code or Referral Link, the sale is attributed to you (between two holds on one email, the earliest unexpired hold wins), but you cannot place a hold on anyone who has already bought from Predictive Safety, and a Referral Code or Referral Link used at checkout always beats a hold.
7. Refunds and Chargebacks
7.1 Cancellation. If a Referred Order is refunded in whole or in part, or is subject to a Chargeback, the Commission on that order is cancelled (in proportion, for a partial refund).
7.2 Recovery. If a Referred Order is reversed by a card Chargeback, or Predictive Safety finds that it was fraudulent, after its Commission was paid, Predictive Safety deducts that Commission from your next payout. Predictive Safety never bills you for it or sets a repayment deadline, and if no payout follows, Predictive Safety absorbs the loss. A paid Commission is never taken back for any other reason, including a refund Predictive Safety chooses to give or any change of mind on Predictive Safety's part.
8. Promotion Rules
You must follow these rules whenever you promote the Program or use a Referral Tool.
8.1 Consent-based messaging only. You may not send unsolicited bulk messages of any kind. You may text, call or email only people who have agreed to hear from you. You are solely responsible for complying with the CAN-SPAM Act, the Telephone Consumer Protection Act, and all New York laws on marketing, telemarketing and text messaging, including obtaining and keeping records of consent and honouring opt-outs.
8.2 No brand bidding. You may not bid on, buy or use as a keyword, in any paid search, social or display advertising, the terms "Predictive Safety", "SST.NYC" or "sst.nyc", or any confusingly similar term or misspelling.
8.3 No coupon sites. You may not post or allow posting of any Referral Code on any coupon, deal, discount, voucher or similar site or channel.
8.4 Disclosure. In every promotion, you must clearly and conspicuously disclose your material connection to Predictive Safety (for example, that you earn a commission), as required by the Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising.
8.5 No false or misleading claims. You may not make any false, misleading or unsupported statement. In particular, you may not say or imply that:
- (a) any card, certificate or credential is guaranteed;
- (b) Predictive Safety is, is part of, or is affiliated with or endorsed by the New York City Department of Buildings;
- (c) Predictive Safety price-matches, beats other prices, or offers the lowest price; or
- (d) anything about course content, course requirements, card requirements or legal requirements, beyond what Predictive Safety itself publishes.
8.6 No impersonation. You may not create or use any website, page, profile, social media handle, email address, phone listing or domain name that uses the Marks or otherwise presents itself as, or could reasonably be mistaken for, Predictive Safety.
8.7 Compliance with laws. Your promotion must comply with all applicable laws, regulations and platform rules.
8.8 Effect of breach. Commissions on sales obtained in breach of this Section 8 are forfeited, and Predictive Safety may suspend your Referral Tools or terminate this Agreement under Section 13.
9. Licence to Use Marks and Materials
9.1 Licence. Predictive Safety grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to use the Marks and the Promotional Materials, in the form provided on the Dashboard, solely to promote the Program during the term of this Agreement.
9.2 Restrictions. You may not alter the Marks or Promotional Materials, combine them with other marks, register any domain, handle or trademark containing the Marks, or use them in any way that suggests Predictive Safety sponsors or endorses you or your business beyond your role as a Partner.
9.3 Ownership. Predictive Safety owns all rights in the Marks and Promotional Materials. All goodwill arising from your use of the Marks inures solely to Predictive Safety.
9.4 Revocation. Predictive Safety may revoke this licence, or require you to change or remove any promotion, at any time. You must comply within 72 hours after notice.
10. Confidentiality and Privacy
10.1 What you see. The Dashboard shows the first names of Referred Workers and the names of the courses they bought. It does not show other personal information.
10.2 Confidentiality. You must keep confidential all information you obtain through the Dashboard or the Program that is not public, including Referred Workers' names and purchases and your Commission terms. You may use it only to take part in the Program, and you may not disclose, sell or publish it.
10.3 What you must never request. You must never request, collect or hold a referral's documents, account login credentials, passwords, government-issued identification, Site Safety Training card or certificate, Social Security number, or date of birth, and you must never log in to any account on a referral's behalf.
10.4 Data security. To the extent you hold any personal information about New York residents in connection with the Program, you must comply with the New York SHIELD Act (New York General Business Law Sections 899-aa and 899-bb), including reasonable safeguards, and you must notify Predictive Safety at help@sst.nyc without undue delay after you become aware of any unauthorised access to that information.
11. Payments, Taxes and Records
11.1 Payout timing. Predictive Safety pays Commissions on Earned Sales manually, on the Friday following the date the sale becomes an Earned Sale. If that Friday is a bank holiday, or if Predictive Safety lacks the information required under Sections 11.3 or 11.4, payment is made on the next practical business day after the issue is resolved.
11.2 No minimum. There is no minimum payout amount.
11.3 Payout method. Payment is made by the payout method you set on the Dashboard. You are responsible for keeping it accurate. Predictive Safety is not responsible for a payment sent to the method you provided.
11.4 Tax forms. Before your first payout you must provide a completed IRS Form W-9 (or other form Predictive Safety reasonably requests), and Predictive Safety may hold payouts until you do. Predictive Safety will issue an IRS Form 1099-NEC when the payments to you in a calendar year reach the IRS reporting threshold for that year.
11.5 Taxes. You are solely responsible for all taxes, duties and charges on your Commissions. Predictive Safety may withhold any amount it is required by law to withhold.
11.6 Set-off. Predictive Safety may set off against any payout any amount you owe it under this Agreement.
11.7 Records control. Predictive Safety's records of Referred Orders, attribution, Earned Sales, Commissions and payments are conclusive absent manifest error.
11.8 Disputing a payout. If you believe a payout or payout statement is wrong, you must notify Predictive Safety in writing at help@sst.nyc within 60 days after the payout date or the date the statement appeared on the Dashboard, with the details. If you do not, the payout or statement is final and you waive any claim about it.
12. Changes to This Agreement
12.1 Notice. Predictive Safety may change this Agreement, the Commission rates or the Program by giving at least 14 days' notice by email to the address on file or by posting on the Dashboard. The notice will state the effective date.
12.2 Prospective only. A change applies only to orders placed on or after its effective date. Commissions on earlier orders are governed by the terms in effect when the order was placed.
12.3 Acceptance. If you continue to participate in the Program or use a Referral Tool after the effective date, you accept the change. If you do not agree to a change, you may terminate this Agreement under Section 13 before the effective date.
12.4 Arbitration changes. A change to Section 15 does not apply to any dispute of which Predictive Safety had written notice before the change's effective date.
13. Suspension and Termination
13.1 Termination by either party. Either party may terminate this Agreement at any time, for any reason, by notice to the other under Section 16.1. Termination takes effect on the date of the notice unless the notice states a later date.
13.2 Suspension. Predictive Safety may suspend your Referral Tools, Dashboard access or payouts while it investigates a suspected breach of this Agreement, fraud or a complaint. Predictive Safety will act on the investigation within a reasonable time.
13.3 Effect of termination. On termination:
- (a) your licence under Section 9 ends and you must stop using the Marks, Promotional Materials and Referral Tools and remove them from your promotions within 72 hours;
- (b) Predictive Safety will pay Commissions on sales that became Earned Sales before termination and remain unpaid, subject to Sections 6, 7 and 11;
- (c) Pending Sales placed before termination that become Earned Sales within 12 months after their order date will be paid, unless Predictive Safety terminated for your breach; and
- (d) Commissions on sales obtained in breach of Section 8 are forfeited.
13.4 Survival. Sections 1, 5.5, 6, 7, 9.3, 10, 11, 13.3, 13.4, 14, 15 and 16, and any other provision that by its nature should survive, survive termination.
14. Disclaimers, Limitation of Liability and Indemnity
14.1 Disclaimer. The Program, the Dashboard, the Referral Tools and the Promotional Materials are provided "as is" and "as available". To the fullest extent permitted by law, Predictive Safety disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Predictive Safety does not guarantee any level of sales or Commissions, or that tracking will be uninterrupted or error-free.
14.2 No consequential damages. Neither party is liable to the other for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits or lost business, arising out of or relating to this Agreement, even if advised of the possibility. This Section 14.2 does not limit your obligations under Sections 7, 10 or 14.4, or either party's liability for fraud or wilful misconduct.
14.3 Liability cap. Predictive Safety's total liability arising out of or relating to this Agreement or the Program, under any theory, is limited to the total Commissions Predictive Safety paid you in the 12 months before the event giving rise to the claim.
14.4 Indemnity. You will defend, indemnify and hold harmless Predictive Safety and its members, managers, employees and agents from and against all third-party claims, and all resulting losses, damages, fines, penalties, costs and reasonable attorneys' fees, arising out of or relating to (a) your promotion of the Program, including any message you send; (b) your breach of this Agreement; or (c) your violation of any law or third-party right. Predictive Safety may participate in the defence with its own counsel at its own cost, and you may not settle any claim that imposes an obligation on Predictive Safety without its written consent.
15. Dispute Resolution: Arbitration, Class Waiver and Jury Waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, NOT IN COURT, AND IT WAIVES CLASS ACTIONS AND JURY TRIALS. YOU MAY OPT OUT UNDER SECTION 15.11.
15.1 Scope. "Dispute" means any dispute, claim or controversy between you and Predictive Safety arising out of or relating to this Agreement, the Program, any Commission or payout, or the relationship between the parties, whether based in contract, tort, statute or any other theory, and whether it arose before or after the Acceptance Date.
15.2 Informal resolution first. Before starting arbitration or any court action, the party with the Dispute must send the other a written notice describing the Dispute, the facts, and the relief sought. Notice to Predictive Safety goes to help@sst.nyc; notice to you goes to the email address on file. The parties will try in good faith to resolve the Dispute for 30 days after the notice is received. Neither party may start arbitration or a court action (other than under Section 15.4(b)) until that 30-day period ends. Statutes of limitations are paused during the 30-day period.
15.3 Binding individual arbitration. Any Dispute not resolved under Section 15.2 will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules in effect when the arbitration is filed (the "AAA Rules"), as modified by this Section 15. The arbitration will:
- (a) be seated in New York County, New York, though the arbitrator may allow hearings by video or telephone;
- (b) be heard by one neutral arbitrator;
- (c) be conducted in English; and
- (d) result in a written, reasoned award, which may be entered as a judgment in any court with jurisdiction.
The arbitrator may award any individual relief that a court could award, but only in favour of the individual party seeking relief and only to the extent needed to provide relief on that party's individual claim.
15.4 Exceptions. Despite Section 15.3:
- (a) Small claims. Either party may bring an individual Dispute in a small claims court in New York County, New York, if it qualifies and stays there on an individual basis.
- (b) Intellectual property and brand misuse. Either party may seek a temporary restraining order, preliminary or permanent injunction or other equitable relief in a court under Section 15.13 to stop actual or threatened infringement, misappropriation or misuse of its trademarks, Marks, domain names, copyrights or confidential information, including any breach of Sections 8.2, 8.6, 9 or 10. Seeking that relief does not waive the right to arbitrate any other Dispute.
15.5 Delegation. The arbitrator, and not any court, has exclusive authority to decide all issues about the interpretation, applicability, scope, enforceability, validity or formation of this Section 15, including whether a Dispute is subject to arbitration, except that a court decides (a) the issues reserved to courts by Sections 15.7 and 15.10, and (b) whether the exceptions in Section 15.4 apply.
15.6 Federal Arbitration Act. This Section 15 involves interstate commerce and is governed by the Federal Arbitration Act, 9 U.S.C. Section 1 and following (the "FAA"), and federal arbitration law. New York law applies to other issues only to the extent consistent with the FAA.
15.7 Class and collective action waiver. YOU AND PREDICTIVE SAFETY EACH AGREE TO BRING DISPUTES ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate the claims of more than one person, except as provided in Section 15.9, and may not preside over any class, collective or representative proceeding.
15.8 Jury trial waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND PREDICTIVE SAFETY EACH WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE, including any Dispute that proceeds in court for any reason.
15.9 Mass arbitration. If 25 or more demands for arbitration raising substantially similar Disputes are filed against Predictive Safety by or with the help of the same or coordinated counsel or organisations within any 90-day period (a "Mass Filing"):
- (a) the demands will be administered in batches of up to 25 demands each, with one arbitrator appointed for each batch, and only one batch will proceed at a time;
- (b) each batch will be resolved as a single consolidated proceeding, with one set of filing and administrative fees and one hearing (if any) per batch, but with each claimant's award decided individually;
- (c) the remaining demands are held in abeyance, and no fees are due on them, until their batch begins;
- (d) the parties will cooperate in good faith with the AAA to implement this batching, and the AAA's Mass Arbitration Supplementary Rules apply to the extent consistent with this Section 15.9; and
- (e) statutes of limitations are paused for each held demand from its filing until its batch begins.
A court with jurisdiction under Section 15.13 may enforce this Section 15.9, including by enjoining the filing or prosecution of demands not in compliance with it.
15.10 Severability of the class waiver. If a court finally decides, after all appeals, that the class and collective action waiver in Section 15.7 is unenforceable as to any Dispute or any claim for relief, then that Dispute or claim (and only that one) will be severed and decided by a court under Section 15.13, and not in arbitration. In no case will any Dispute proceed as a class, collective or representative arbitration. The remaining Disputes or claims will be arbitrated individually, and the court proceeding will be stayed pending the arbitration.
15.11 Your right to opt out. You may opt out of this Section 15 by sending an email to help@sst.nyc within 30 days after the Acceptance Date. The email must have the subject line "Arbitration Opt-Out" and state your name, the email address on your Dashboard, and that you opt out of arbitration. If you opt out, Sections 15.3, 15.5, 15.6 and 15.9 do not apply to you, and Disputes will be resolved in court under Section 15.13; Sections 15.2 and 15.8 still apply. Opting out does not affect any other part of this Agreement. Accepting a later version of this Agreement does not restart the 30-day period.
15.12 Fees and costs. Payment of filing, administrative and arbitrator fees is governed by the AAA Rules, except that if you are an individual Partner, Predictive Safety will pay the part of your filing fee that exceeds the filing fee you would have paid to start a lawsuit in the Supreme Court of the State of New York, New York County. Each party bears its own attorneys' fees and costs unless the arbitrator awards them under applicable law or finds a claim or defence frivolous or brought for an improper purpose.
15.13 Courts. For any Dispute that is not arbitrated, or to compel arbitration, enforce Section 15.9, confirm, modify or vacate an award, or seek relief under Section 15.4(b), the parties submit to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York, and waive any objection based on inconvenient forum.
15.14 Confidentiality. The arbitration, including all submissions, evidence, hearings and the award, is confidential. Neither party may disclose it except as needed to prepare for or conduct the arbitration, to enforce or challenge an award, to its professional advisers or insurers, or as required by law.
15.15 Survival. This Section 15 survives termination of this Agreement and the end of your participation in the Program.
16. General Terms
16.1 Notices. Predictive Safety may give you notice by email to the address on file for your Dashboard account or by posting on the Dashboard. You must give notice to Predictive Safety by email to help@sst.nyc or by mail to Predictive Safety LLC, 5400 Fieldston Rd, Bronx, NY 10471. An email notice is effective when sent, unless the sender receives a delivery failure message. A Dashboard posting is effective when posted. A mailed notice is effective when received.
16.2 Governing law. This Agreement is governed by the laws of the State of New York, without regard to conflict-of-laws principles, except that the FAA governs Section 15.
16.3 Entire agreement. This Agreement, together with the Commission rate and payout disclosures shown on your Dashboard, is the entire agreement between the parties about the Program and replaces all earlier or other understandings, proposals and communications about it.
16.4 Order of precedence. If there is a conflict, the following order applies: (a) this Agreement; (b) the rate and payout disclosures on the Dashboard; and (c) the Summary and any other Program description, FAQ or marketing material, which are not binding. A Commission rate shown on your Dashboard controls over the default rate in Section 5.1.
16.5 Amendment. This Agreement may be amended only under Section 12 or by a written document signed (including electronically) by both parties.
16.6 Waiver. A failure or delay in enforcing any provision is not a waiver. A waiver is effective only if in writing and applies only to the specific instance.
16.7 Severability. If any provision of this Agreement is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the rest of this Agreement remains in effect, except as Section 15.10 provides for the class waiver.
16.8 Force majeure. Neither party is liable for delay or failure to perform (other than payment obligations already due) caused by events beyond its reasonable control, including outages or delays of the Training Connect system, government action, natural disasters, epidemics, labour disputes, utility or internet failures, or failures of payment processors.
16.9 Independent contractor. You are an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, franchise, agency or fiduciary relationship. You have no authority to make any promise, representation or agreement on behalf of Predictive Safety or to bind it in any way, and you will not hold yourself out as having that authority.
